[dropcap2]A[/dropcap2]You state ‘represent’ – is that the case or is the Attorney just facilitating the paperwork ( like a title company in a real estate sale closing)? If represent is really the fact of the matter, then I believe full disclosure & consent to & by all parties would be in order. Usually, Attorney’s do not represent both (or all) sides of a case. Clarify this with the Attorney in question.
If somewhere those members have written authority to do so, then probably – yes. If this is the case, then there should have been a subject to’ clause in the agreement regarding the condition of the necessary approval.
